These Terms of Service ("Terms") govern your use of the Upsalt platform, operated by UPSALT, a French simplified joint-stock company (SAS) registered at 50 Boulevard Stalingrad, 06300 Nice, France, SIRET 994 024 362 00018 (RCS Nice) ("Upsalt", "we", "us"). By using app.upsalt.io, admin.upsalt.io, or our public API and AI-agent (MCP) endpoints, you agree to these Terms. If you do not agree, do not use the service.

1. The service

Upsalt is a reservation-management platform for restaurants and other venues ("Businesses"). It provides:

  • A public booking flow so guests ("Guests") can reserve a table, place a Click & Collect order, or manage an existing booking, without needing to create an account.
  • A backoffice for Businesses to manage reservations, floorplans, staff, extra services, special events, customers, and payments.
  • A public API and MCP (Model Context Protocol) server that let AI agents perform the same booking actions on a Guest's behalf.

Upsalt is a facilitator between Guests and Businesses. We are not a party to the underlying reservation, order, or hospitality arrangement between you and the Business — the Business is responsible for honoring, modifying, or declining bookings, and for the food, service, and premises themselves.

2. Business accounts

  • You must provide accurate business information and keep your login credentials confidential. You are responsible for all activity under your account.
  • We strongly recommend enabling two-factor authentication, available in the backoffice.
  • Businesses are responsible for the accuracy of the information they present to Guests (opening hours, menus, pricing, floorplan) and for complying with all laws applicable to their own operations (food safety, consumer protection, tax, and data protection toward their own Guests).
  • We may suspend or terminate a Business account for breach of these Terms, fraudulent activity, or non-payment of applicable fees.

3. Guest bookings

  • You must provide accurate contact details when booking — we and the Business rely on them to confirm, modify, or contact you about your reservation.
  • Cancellation policies, no-show fees, and deposit requirements (where enabled) are set by the individual Business, not by Upsalt. Check the confirmation details for the specific terms that apply to your booking.
  • Where a deposit is required, it is collected via Stripe on behalf of the Business; refund eligibility follows the Business's own cancellation policy.

4. AI agent bookings

Our MCP server allows AI agents (used by you or acting on your behalf) to search venues and create, look up, or cancel bookings automatically, using the same rules and validations as our website — see the MCP server documentation. If you use an AI agent to book through Upsalt:

  • You are responsible for the accuracy of the information the agent submits on your behalf (contact details, party size, dietary needs, date/time).
  • A booking created by an agent is treated the same as one created directly by you, including any applicable deposit and cancellation terms.
  • We recommend confirming the details an agent is about to submit before it finalizes a booking.
  • The public booking MCP server requires no authentication and is rate-limited; automated or abusive use outside normal booking activity is prohibited (see §6).

5. Payments

Payments and deposits are processed by Stripe. We do not store your card details. Businesses receive payouts through Stripe Connect, subject to Stripe's own terms. Upsalt is not responsible for delays or errors caused by Stripe or your card issuer.

6. Acceptable use

You agree not to:

  • Submit false booking information, make fraudulent reservations, or repeatedly no-show with intent to disrupt a Business.
  • Attempt to bypass rate limits, scrape the platform, or interact with the public API/MCP endpoints outside their documented, good-faith use.
  • Upload malicious files or attempt to compromise the security of the platform.
  • Use the service to harass, defraud, or discriminate against Businesses or Guests.

We may suspend access for accounts or requests that violate this section.

7. Intellectual property

The Upsalt platform, its branding, and its software are owned by us or our licensors. Businesses retain ownership of the content they upload (images, logos, floorplans, menus) and grant us a license to host and display it as needed to operate the service.

8. Availability and changes

We aim to keep the service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the service, including the public API and MCP endpoints, with reasonable notice where practical.

9. Limitation of liability

To the extent permitted by law, Upsalt is not liable for indirect, incidental, or consequential damages arising from your use of the service, including losses caused by a Business's handling of a reservation, errors in information submitted by an AI agent on your behalf, or third-party service outages (Stripe, WhatsApp, email delivery). Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Termination

You may stop using the service at any time. We may suspend or terminate access for breach of these Terms. Sections that by their nature should survive termination (e.g. §9) will continue to apply.

11. Governing law

These Terms are governed by French law, without regard to conflict-of-law principles. Any dispute will be subject to the exclusive jurisdiction of the courts of Nice, France, unless mandatory consumer-protection law gives you the right to bring proceedings elsewhere.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above.
